These Terms of Service ("Terms") govern your access to and use of the services, facilities, website, and applications provided by ALYZE Holdings LLC ("ALYZE," "we," "us," or "our"), located at 155 W 500 S #3, Bountiful, UT 84010. By accessing our website at alyze.health, enrolling in a membership, or using any ALYZE services, you agree to be bound by these Terms.
01Acceptance of Terms
By accessing or using ALYZE's website, facility, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
We reserve the right to modify these Terms at any time. Material changes will be communicated to members via email and posted on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
You must be at least 18 years of age to use ALYZE's services or enter into a membership agreement.
02Definitions
The following defined terms are used throughout these Terms, your Membership Agreement, and the treatment-specific informed consent forms you will sign at the time of service. Consistent use of these terms ensures coherence between our public-facing documents and the clinical records maintained in your medical chart.
- Member: An individual enrolled in an ALYZE membership and bound by these Terms and an executed Membership Agreement. Used interchangeably in clinical records with "Patient" where medical services are involved.
- Clinician / Provider: A licensed healthcare practitioner (Nurse Practitioner, Physician Assistant, or Physician) credentialed to practice in the State of Utah who performs Good Faith Exams, orders laboratory testing, prescribes Protocols, and documents clinical care at ALYZE.
- Good Faith Exam (GFE): The in-person or synchronous telehealth encounter, documented by a Clinician, that establishes a chief complaint, history of present illness, review of systems, assessment, and treatment plan prior to any pharmacologic or medical intervention. A current GFE is a prerequisite to receiving any medical service at ALYZE.
- anALYZE Assessment: The comprehensive baseline evaluation completed at enrollment and repeated quarterly, including bloodwork, body composition analysis, mental performance baseline, and physical assessment. All Protocols are derived from and periodically re-anchored to this Assessment.
- Protocol: The personALYZEd treatment plan (including dosing, cycling, monitoring, and follow-up) developed by your Clinician and documented in your medical record.
- Compounded Product: A medication prepared by a licensed 503A or 503B compounding pharmacy to meet an individualized clinical need. Compounded Products are not FDA-approved as finished drugs.
- Off-Label Use: Use of an FDA-approved medication in a manner, dose, population, or indication not specifically approved by the FDA but supported by clinical evidence and the professional judgment of your treating Clinician.
- Category 2 Substance: A bulk drug substance listed under federal compounding regulations for which the FDA has not made a final determination regarding safety or efficacy.
- Adverse Event: Any allergic reaction, injection-site reaction beyond expected, IV complication, facility injury, recovery-amenity incident, medication error, or near-miss related to services received at ALYZE, as further defined in our internal Adverse Event & Incident Report protocol.
- Treatment-Specific Consent: A separate informed consent document, signed by you (and, where applicable, your Clinician) before a specific medical or wellness service is rendered. Treatment-Specific Consents supplement these Terms and are maintained as part of your permanent medical record.
03Membership Terms & Conditions
Membership Structure
ALYZE offers comprehensive memberships that include access to fitness, precision medicine, recovery and wellness, mental performance, MedLab, and MedSpa services under one integrated membership. Specific inclusions, pricing, and terms are detailed in your individual Membership Agreement signed at enrollment.
Enrollment & Billing
- Memberships are billed on a recurring monthly basis unless otherwise specified in your Membership Agreement
- Payment is due on the date specified in your Membership Agreement
- You are responsible for maintaining accurate, current payment information
- Failed payments may result in suspension of services until the account is brought current
The anALYZE Assessment
Every membership begins with the anALYZE Assessment, a comprehensive evaluation including medical exam, bloodwork, body composition analysis, mental performance baseline, and physical assessment. This assessment is repeated quarterly to track progress and adjust your personALYZEd plan. Participation in the initial assessment is a condition of membership.
Cancellation & Refunds
- Cancellation terms, including any notice periods and early termination fees, are specified in your individual Membership Agreement
- Cancellation requests must be submitted in writing to membership@alyze.health or in person at our facility
- Refunds are handled in accordance with your Membership Agreement and applicable Utah law
- Access to services continues through the end of your paid billing period following cancellation
Membership Freezes
Membership freezes may be available under certain circumstances, such as medical necessity or extended travel. Freeze terms and any associated fees are outlined in your Membership Agreement.
Cash-Pay / Direct-Pay Model
ALYZE operates on a direct-pay (cash-pay) model and does not bill health insurance for memberships or clinical services. Pricing for services not included in your base membership (for example, selected peptide Protocols, specialized compounded medications, or adjunctive treatments) will be disclosed to you in advance of service delivery. You are responsible for payment at the time of service or per the schedule in your Membership Agreement.
You may be eligible to use Health Savings Account (HSA) or Flexible Spending Account (FSA) funds for qualifying medical services; eligibility is determined by your plan administrator and not by ALYZE. Superbills for qualifying services can be provided on request for potential out-of-network reimbursement.
Withdrawal of Consent & Treatment Cancellation
You may withdraw consent for any specific treatment or Protocol at any time prior to or during service delivery. Once a medication has been administered (for example, an injection or infusion), it cannot be reversed; however, you may decline further doses and request an alternative plan from your Clinician. Refund eligibility for undelivered treatments is described in your Membership Agreement and the applicable Treatment-Specific Consent.
04Medical Disclaimer & Good Faith Exam
ALYZE provides precision medicine, laboratory, and wellness services through licensed Clinicians. However, please understand the following:
- Not emergency care: ALYZE is not an emergency medical facility. In the event of a medical emergency, call 911 or go to your nearest emergency room immediately. ALYZE services are not a substitute for emergency medical care.
- Not a replacement for primary care: ALYZE's precision medicine services are designed to complement, not replace, your relationship with your primary care physician. We encourage all Members to maintain an active relationship with their primary healthcare provider.
- Good Faith Exam required: No pharmacologic Protocol, injection, infusion, or prescription service will be initiated at ALYZE without a current, documented Good Faith Exam performed by a Clinician licensed in your state of residence at the time of the encounter. The GFE establishes medical necessity, rules out contraindications, and forms the basis for any Protocol you receive.
- Treatment-Specific Consent: Each medical or wellness intervention — including but not limited to peptide therapy, GLP-1 therapy, growth-hormone secretagogues, NAD+ infusion, glutathione, lab work, red-light therapy, infrared sauna, cold plunge, contrast therapy, and compression therapy — requires a separate Treatment-Specific Consent signed before the service is rendered. Treatment-Specific Consents describe the specific risks, contraindications, and alternatives for that service and supplement these Terms.
- Jurisdiction & licensure: Clinical services requiring a licensed prescriber (including telehealth follow-ups) are provided only in states where the treating Clinician holds an active, unrestricted license. ALYZE does not provide medical services to individuals residing or physically present in a state where the Clinician is not licensed.
- Individual results: Health outcomes vary by individual. ALYZE does not guarantee specific medical results from any service, treatment, or Protocol.
- Professional medical advice: Information provided on our website, in our facility, or through the ALYZE App is for informational and educational purposes. It does not constitute medical advice until delivered in the context of a practitioner-patient relationship established through a Good Faith Exam.
05Regulatory Status of Compounded & Off-Label Therapies
Some ALYZE Protocols involve Compounded Products, Off-Label Use of FDA-approved medications, and/or bulk substances classified as Category 2 under federal compounding regulations. By enrolling in such a Protocol, you acknowledge and accept the following:
- Compounded Products are not FDA-approved as finished drug products. They are prepared by licensed 503A or 503B compounding pharmacies to meet your individualized clinical needs based on your Clinician's written prescription.
- Off-Label Use means that an FDA-approved medication is being prescribed in a manner, dose, population, or indication not specifically approved by the FDA but supported by clinical evidence and the professional judgment of your treating Clinician. Your Clinician will document the clinical rationale for any Off-Label Use in your medical record.
- Category 2 Substances: Certain peptides and investigational compounds used in ALYZE Protocols (examples include, but are not limited to, Retatrutide, Survodutide, Dihexa, SS-31, and Melanotan) are classified as Category 2, meaning the FDA has not made a final determination regarding their safety or efficacy. You accept this regulatory uncertainty as a condition of receiving these Protocols.
- Alternatives available: For most conditions treated with a Compounded Product, an FDA-approved branded alternative exists. Your Clinician will discuss those alternatives with you and document a clinical justification for selecting a Compounded or Off-Label Protocol. You may elect a branded alternative at any time.
- Pharmacy relationship: Compounded Products are dispensed by licensed 503A or 503B compounding pharmacies. ALYZE shares only the minimum necessary information (prescription, member demographics, allergies, and relevant clinical data) to enable accurate compounding and dispensing.
- Adverse Event reporting: In the event of an Adverse Event, ALYZE may notify the treating Clinician, supervising physician, compounding pharmacy or manufacturer, legal counsel, emergency medical services, and any applicable regulatory body. Further detail on Adverse Event handling is provided in our Privacy Policy.
06Assumption of Risk
Participation in ALYZE's fitness, recovery, and wellness activities involves inherent risks. By using our services, you acknowledge and voluntarily assume the following risks:
Fitness Activities
Strength training, reformer Pilates, group fitness classes, cardiovascular exercise, and personal training carry risks of musculoskeletal injury, cardiovascular events, and other physical harm. You agree to exercise within your capabilities and follow staff instructions.
Recovery & Wellness Modalities
The following modalities carry specific risks that you acknowledge:
- Finnish and infrared sauna: Risk of heat-related illness, dehydration, burns, dizziness, and adverse cardiovascular effects
- Cold plunge: Risk of cold shock response, hypothermia, cardiovascular stress, and slips or falls
- Contrast therapy: Risks associated with rapid temperature changes, including cardiovascular stress
- Red light therapy: Risk of eye damage if protective eyewear is not used, and potential skin sensitivity
- PEMF therapy: Potential contraindications for individuals with pacemakers, implanted devices, or certain medical conditions
Medical & Clinical Services
IV therapy, hormone replacement therapy, peptide therapy, NAD+ therapy, blood draws, injections, and other clinical procedures carry risks including but not limited to infection, bruising, allergic reaction, adverse drug interactions, and other complications. All clinical risks will be discussed as part of your informed consent process.
Waiver
You may be required to sign a separate Assumption of Risk and Waiver of Liability form as a condition of membership or participation in certain activities. Such waivers supplement but do not replace these Terms.
07CLIA Lab & Pharmacy Services
ALYZE operates a CLIA-certified in-house medical laboratory and partners with licensed 503A and 503B compounding pharmacies to dispense Protocols ordered by your Clinician. Please understand the following:
Laboratory Services
- Laboratory tests are ordered by licensed healthcare practitioners based on clinical judgment and your health needs
- Lab results are one component of your overall health assessment and should be interpreted by a qualified healthcare provider in the context of your complete medical history
- While our lab provides rapid results (typically within 30 minutes for standard panels), certain specialized tests may require external processing and longer turnaround times
- Lab results are not a diagnosis. Diagnosis and treatment decisions are made by your healthcare practitioner using lab data alongside clinical examination and medical history
- Our laboratory operates in compliance with all applicable CLIA regulations, state of Utah laboratory licensing requirements, and federal guidelines
- You have the right to request copies of your lab results at any time
Pharmacy & Compounded-Product Dispensing
- 503A pharmacies prepare patient-specific Compounded Products pursuant to an individual prescription written by your Clinician. 503A compounds are dispensed to you by name.
- 503B outsourcing facilities manufacture office-use Compounded Products under cGMP-like controls; these may be administered to you in-clinic (for example, in-office IV formulations) without a patient-specific prescription.
- ALYZE shares only the minimum necessary information with the dispensing pharmacy (prescription, demographics, allergies, and relevant clinical data) required for safe compounding and dispensing.
- Compounded Products are not FDA-approved as finished drug products. See Section 05 (Regulatory Status of Compounded & Off-Label Therapies) for full disclosures.
- Storage, handling, and self-administration instructions for any take-home Compounded Product will be reviewed with you at the time of dispensing and are included in the Treatment-Specific Consent for that Protocol.
08MedSpa Services
MedSpa services at ALYZE are provided in partnership with The Plastics Clinic, operating within our Bountiful facility. Please note:
- MedSpa treatments are administered by The Plastics Clinic's licensed practitioners and staff
- The Plastics Clinic maintains its own malpractice insurance, clinical protocols, and practitioner credentialing
- Informed consent for MedSpa procedures is obtained by The Plastics Clinic directly
- Complaints or concerns regarding MedSpa services should be directed to both ALYZE and The Plastics Clinic
- MedSpa services may include but are not limited to: Hydrafacial, microneedling, laser hair removal, chemical peels, and anti-aging treatments
- Specific risks, contraindications, and aftercare instructions for each MedSpa treatment will be provided during your consultation with The Plastics Clinic
09Intellectual Property
All content, materials, and intellectual property associated with ALYZE are owned by or licensed to ALYZE Holdings LLC, including but not limited to:
- The ALYZE name, logo, and brand identity
- Website content, design, graphics, and source code
- The anALYZE Assessment framework and methodology
- Proprietary health protocols and programming
- Marketing materials, photography, and video content
- The ALYZE App and its features
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any ALYZE intellectual property without our prior written consent. "AnALYZE," "PersonALYZE," and "RevitALYZE" are trademarks of ALYZE Holdings LLC.
10User Conduct
As a member or visitor of ALYZE, you agree to:
- Treat all staff, practitioners, and fellow members with respect and courtesy
- Follow all facility rules, safety guidelines, and staff instructions
- Use equipment and facilities only for their intended purposes
- Disclose complete and accurate medical history and health information to our practitioners
- Inform staff immediately of any injury, illness, or medical event occurring on premises
- Maintain appropriate hygiene and dress code standards as posted in the facility
- Not engage in harassment, discrimination, or threatening behavior
- Not bring unauthorized substances, weapons, or hazardous materials into the facility
- Not photograph or record other members or staff without consent
- Not share your membership credentials or allow others to use your membership
ALYZE reserves the right to revoke or suspend membership for violations of these conduct standards, with or without prior warning, depending on the severity of the violation.
11Limitation of Liability
To the maximum extent permitted by applicable law:
- ALYZE Holdings LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, regardless of the theory of liability
- Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to ALYZE in membership fees during the twelve (12) months preceding the claim
- We are not liable for any damages resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, utility failures, or third-party service disruptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the limitations above shall apply to the fullest extent permitted by law.
This limitation of liability does not apply to liability arising from gross negligence or willful misconduct by ALYZE, or to any liability that cannot be excluded or limited by applicable law.
12Indemnification
You agree to indemnify, defend, and hold harmless ALYZE Holdings LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your use or misuse of ALYZE services or facilities
- Your provision of inaccurate or incomplete health or personal information
- Your violation of any applicable law or regulation
- Any third-party claim related to your actions at or in connection with ALYZE
13Governing Law
These Terms and any disputes arising out of or related to these Terms or your use of ALYZE services shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.
Any legal proceedings related to these Terms shall be brought exclusively in the state or federal courts located in Davis County or Salt Lake County, Utah. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
14Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact ALYZE at legal@alyze.health to attempt to resolve the dispute informally. We will make good-faith efforts to resolve your concern within thirty (30) days.
Mediation
If informal resolution is unsuccessful, both parties agree to attempt mediation before a mutually agreed-upon mediator in Davis County, Utah, before proceeding to arbitration or litigation. Mediation costs shall be shared equally between the parties.
Binding Arbitration
If mediation is unsuccessful, any remaining dispute shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Davis County, Utah. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ALYZE.
Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property, data security, or unauthorized access.
15Termination
ALYZE reserves the right to suspend or terminate your membership and access to our services at any time for:
- Violation of these Terms or facility rules
- Non-payment of membership fees or outstanding balances
- Conduct that endangers the safety of staff, members, or the facility
- Providing false or misleading medical or personal information
- Any other reason deemed necessary to protect the interests of ALYZE, its members, or staff
Upon termination, your right to access ALYZE services and facilities ceases immediately. You remain responsible for any outstanding fees or balances owed. Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, governing law, and dispute resolution) shall remain in effect.
Your medical records will be retained in accordance with applicable healthcare regulations and our Privacy Policy, regardless of membership status.
